Kivo - Terms & Conditions

Legal entity: Kivo is a trading name of LUX GLOBAL LTD (“LUX GLOBAL”, “we”, “us”, “our”).

1) Agreement to Terms

By accessing or using Kivo’s website, apps, and related services (the Service), you agree to these Terms of Use and to our Privacy Policy. If you do not agree, do not use the Service.

2) What Kivo Does

Kivo is a professional social media scheduler for small businesses and agencies. Core capabilities include: - Projects to organize work by brand/client, with calendars, templates, and assets. - Multi-account per platform (e.g., regional Instagram accounts) within a Project. - Unlimited team collaboration (no per-seat fees) with roles and mentions. - AI-assisted drafting (captions, hooks, hashtags, rewrites) and per-channel formatting with preview. - Cross-posting & scheduling across supported platforms with queues and a visual calendar. - Lightweight reporting (scheduled vs. shipped, top posts, exports). Functionality varies by plan and may change over time.

3) Eligibility & Accounts

You must be 18+ and able to enter into a contract. You are responsible for: - keeping account credentials secure and accurate; - all activity under your account; - complying with laws and with each connected platform’s terms. We may suspend or terminate access for violations or risks to the Service.

4) Subscriptions, Pricing & Cancellations

Kivo uses usage-based pricing by Projects and monthly post volume (not by seats). Plan details and prices are shown at checkout. - Billing & renewal. Subscriptions auto-renew at the end of each term unless cancelled beforehand.
- Cancellations. When you cancel, service continues until the end of the current term.
- Trials. Trial terms (if offered) are shown at signup.
- Refunds. Except where required by law, we do not refund partial terms or unused time.
- Taxes. Prices may exclude applicable taxes.
- Changes. We may update plan features or pricing on notice; changes apply at the next renewal.

Fair-use note: “Unlimited team” and other “unlimited” features are subject to reasonable, non-abusive use.

5) Platform Connections & Third-Party Terms

When you connect a social platform (e.g., Instagram, TikTok, Pinterest, YouTube, X/Twitter, Facebook Pages, LinkedIn; plus select long-tail/fediverse networks), you authorize us to publish on your behalf and to retrieve necessary metadata (e.g., delivery status). - Connect only accounts you are authorized to manage. - Respect each platform’s policies, rate limits, and community rules. - APIs and outages: Posting/scheduling may be affected by third-party API limits, downtime, or policy changes. We provide queue/retry mechanisms where feasible but cannot guarantee delivery times.

6) AI Features & Your Responsibilities

Kivo provides AI-assisted drafting and formatting. AI outputs may be inaccurate, incomplete, or unsuitable. You must review, edit, and approve content before publishing and ensure compliance with law and platform policies. We may employ third-party AI providers acting under processing agreements.

7) Fair-Use Policy (for “Unlimited”)

To protect service quality, we may detect and mitigate excessive or abusive use (e.g., automation that triggers platform rate limits, spam-like behavior, scripted bursts). We may warn, throttle, or suspend accounts that materially degrade reliability or breach acceptable use.

8) Your Content & License to Us

You retain ownership of the content you create or upload (captions, media, links, schedules). You grant LUX GLOBAL a worldwide, non-exclusive, royalty-free license to host, cache, store, format, reproduce, transmit, and display your content solely to operate and improve the Service (including previews, scheduling, publishing, and delivery reporting). You represent you have all rights to post the content and that it does not violate law or third-party rights. Deleting drafts/schedules removes them from active workflows; published posts remain governed by the platforms.

9) Optional Review & Approvals (Agency workflows)

Kivo can run without approvals. If enabled per Project, reviewers may comment and mark items “approved,” after which versions can be locked for auditability. You decide which Projects require sign-off.

10) Acceptable Use

Do not use the Service to: - post illegal, infringing, deceptive, or harmful content; - harass or threaten others or incite violence; - spam or manipulate engagement; - probe, disrupt, or circumvent security or rate limits; - collect sensitive data without proper notice/consent. We may remove or restrict content or accounts that violate these rules.

11) Privacy

See our Privacy Policy for how we collect and process personal data, including platform tokens and telemetry necessary for the Service.

12) Intellectual Property

The Service (software, UI, design, documentation) is owned by LUX GLOBAL or its licensors and is protected by intellectual property laws. Except for rights expressly granted here, no rights are transferred to you.

13) Feedback

If you provide ideas or suggestions, you grant us a free, irrevocable license to use them without restriction or obligation.

14) Availability & Changes

We may add, change, or remove features and may suspend the Service for maintenance, security, or legal reasons. We are not liable for unavailability due to third-party platforms, networks, or force majeure events.

15) Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted, timely, or error-free operation, or that AI outputs will be accurate or suitable.

16) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUX GLOBAL SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA. Our aggregate liability for all claims in any 12-month period is limited to the amounts you paid for the Service in that period. Some jurisdictions do not allow certain exclusions or limits; your statutory rights may apply.

17) Indemnity

You will defend, indemnify, and hold harmless LUX GLOBAL and its officers, employees, and agents from claims, losses, and expenses (including reasonable legal fees) arising from your content, your misuse of the Service, or your breach of these Terms or applicable law.

18) Governing Law & Disputes

These Terms are governed by the laws of England and Wales. Courts of England and Wales shall have exclusive jurisdiction, except that consumers in the UK/EEA may benefit from mandatory protections of their local law and may bring claims in their home courts where required by law.

19) Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide reasonable notice (e.g., by email or in-app). Your continued use after the effective date constitutes acceptance.
